Plain-language summary

These Terms form a binding contract between you and Wysebridge. By creating an account or using the Platform, you agree to them. Please read the Disclaimers and Limitation of Liability sections — the Platform is an educational tool, not legal advice.

These Terms of Service ("Terms") are a legal agreement between you and Wysebridge, LLC ("Wysebridge," "we," "our," or "us"). They govern your access to and use of wysebridge.com, app.wysebridge.com, and all related products and services (collectively, the "Platform").

By creating an account, purchasing a subscription, or otherwise using the Platform, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By agreeing to these Terms, you represent that you meet this requirement. If you are accessing the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To access most features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Promptly notify us at support@wysebridge.com if you suspect unauthorized access to your account.
  • Not share your account credentials with others or allow multiple individuals to access a single account.
  • Not create more than one account per person (duplicate accounts may be terminated).

You may register using an email and password or via Google OAuth. If you use Google OAuth, your account is subject to Google's authentication services, but these Terms still apply to your use of Wysebridge.

3. Subscriptions & Billing

3.1 Paid Plans

Wysebridge offers subscription plans that provide full access to the Platform's features. Pricing, plan details, and available billing cycles are described on the Pricing page. Prices are in U.S. dollars and are subject to change with notice.

3.2 Billing & Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). By subscribing, you authorize Wysebridge (through Stripe) to charge your payment method automatically at the start of each billing cycle. Subscriptions automatically renew unless you cancel before the renewal date.

3.3 Cancellation

You may cancel your subscription at any time through Account Settings or by contacting support@wysebridge.com. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not provide prorated refunds for partial billing periods, except where required by applicable law.

3.4 Refunds

We offer a satisfaction guarantee for eligible enrolled students who complete the required coursework and do not pass the USPTO Patent Bar Exam. Eligibility requirements and guarantee terms are described on the Guarantee page. Outside of the guarantee, all fees are non-refundable except where required by applicable law (for example, EU/UK consumers have statutory cooling-off rights).

3.5 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment is not resolved within the grace period shown in your billing dashboard, your subscription may be downgraded to a free account and access to paid features will be suspended until payment is received.

3.6 Taxes

Prices shown do not include applicable taxes. You are responsible for any sales tax, VAT, or other taxes applicable to your subscription based on your location, except where Wysebridge is legally required to collect and remit such taxes on your behalf.

4. Free Trial

We may offer a free trial period for new users. During the free trial, you have access to a limited subset of Platform features as described on the Pricing page. At the end of the trial, you must subscribe to a paid plan to retain access to paid features. We reserve the right to modify or discontinue the free trial at any time.

5. Acceptable Use

You agree not to:

  • Copy, reproduce, distribute, or publicly display Platform content (including practice questions, study guides, or flashcards) without our prior written consent.
  • Scrape, crawl, or use automated tools to access or extract data from the Platform.
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform.
  • Share, sell, or sublicense your account or subscription to others.
  • Use the Platform to transmit viruses, malware, or any harmful code.
  • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure.
  • Attempt to gain unauthorized access to any account, system, or network.
  • Upload or post content that is unlawful, defamatory, obscene, or that violates any third-party rights.
  • Use the Platform for any purpose other than personal, non-commercial exam preparation.
  • Misrepresent your identity or impersonate any person or entity.

Violation of these rules may result in immediate suspension or termination of your account without refund.

6. Intellectual Property

All content on the Platform — including but not limited to practice questions, explanations, study guides, flashcards, course materials, software code, designs, logos, and trademarks — is owned by Wysebridge or its licensors and is protected by United States and international intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, Wysebridge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial patent bar exam preparation. This license does not include the right to copy, modify, create derivative works from, or redistribute any Platform content.

Practice questions on the Platform are derived from publicly released USPTO Patent Bar examination content. Wysebridge's original expression, question selection, organization, explanations, and study materials remain proprietary.

7. Platform Content & Educational Purpose

Important

Wysebridge is an educational exam preparation tool. Content on the Platform — including study guides, question explanations, and AI tutor responses — is for exam preparation purposes only and does not constitute legal advice. Do not rely on Platform content as a substitute for advice from a licensed attorney.

Wysebridge study materials are designed to help candidates prepare for the USPTO Registration Examination. While we work diligently to keep content accurate and current with the MPEP, we do not guarantee that all content reflects the most current USPTO rules or exam specifications. Patent law and USPTO procedures change over time. Always verify critical information against the current edition of the MPEP available at mpep.uspto.gov.

8. AI-Powered Features

The Platform includes AI-powered features, including the AI Patent Tutor. These features are powered by large language models and are subject to the following limitations:

  • AI responses may contain errors, omissions, or outdated information. Always verify AI-generated answers against the MPEP or other authoritative sources before relying on them.
  • AI features are for educational and study assistance only — they do not constitute legal advice and do not create an attorney-client relationship.
  • By using AI features, you agree not to input personal, confidential, or sensitive information (such as client matters, patent application details, or trade secrets).
  • AI features may be unavailable, limited, or modified at any time as the underlying models and technology evolve.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WYSEBRIDGE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR CURRENTNESS OF ANY CONTENT ON THE PLATFORM.
  • WARRANTIES THAT USE OF THE PLATFORM WILL RESULT IN PASSING THE USPTO PATENT BAR EXAM.

Historical pass rate data (including the 81% figure) reflects outcomes of Wysebridge students who completed our program and sat for the exam. Individual results will vary based on many factors including prior knowledge, study time, and exam conditions. Past performance does not guarantee future results.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WYSEBRIDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WYSEBRIDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, WYSEBRIDGE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO WYSEBRIDGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wysebridge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform in a manner not authorized by these Terms; or (c) your violation of any third-party right, including any intellectual property right.

12. Termination

You may terminate your account at any time by canceling your subscription and contacting support@wysebridge.com to request account deletion.

We may suspend or terminate your account and access to the Platform at any time, with or without notice, if we believe you have violated these Terms, if required by law, or for any other legitimate business reason. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. If you are a consumer located in the EU or UK, you may also have the benefit of any mandatory protections provided by the laws of your country of residence.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@wysebridge.com and attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days of receiving your notice.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA) Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted in English and, unless both parties agree otherwise, will take place via video or telephone. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND WYSEBRIDGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any class proceeding.

14.4 Exceptions

Either party may bring an individual action in small claims court for claims within its jurisdiction. Nothing in this Section limits either party's right to seek injunctive or other equitable relief in court for infringement of intellectual property rights.

14.5 EU/UK Consumers

If you are a consumer in the EU or UK, these arbitration provisions do not affect your right to pursue claims in the courts of your country of residence under applicable consumer protection law.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (at the address associated with your account) and/or by posting a notice on the Platform at least 14 days before the changes take effect. The "Effective date" at the top of this page reflects the current version. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Platform and cancel your subscription.
